This End-User License Agreement (“License” or “Agreement”) is a binding agreement between you (“you,” “Licensee,” or “Customer”) and Modern Renaissance Consulting Inc., doing business as PWL Studio (“PWL Studio,” “Licensor,” “we,” or “us”). It governs your installation, authorization, and use of the PWL Claude Connector software application and related services (the “Software” or “App”). By authorizing, connecting, accessing, or using the Software, you accept this License. If you do not agree, do not use the Software.
Subject to your continued compliance with this Agreement, PWL Studio grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software solely for your own internal business purposes in connection with a QuickBooks Online company you are authorized to connect. No rights are granted except as expressly set out here.
The Software connects QuickBooks Online, provided by Intuit Inc. (“Intuit”), to PWL Studio’s reporting and automation systems in order to read the accounting data you authorize and prepare financial summaries, reports, and bookkeeping-support tasks. Data handling is described in our Privacy Policy, which is incorporated into this Agreement by reference.
You will not, and will not permit any third party to: (a) copy, modify, adapt, translate, or create derivative works of the Software; (b) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, except to the extent this restriction is prohibited by applicable law; (c) rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Software or provide it to third parties as a standalone product or service bureau; (d) remove, alter, or obscure any proprietary notices; (e) use the Software to violate any law, regulation, or third-party right; or (f) interfere with, disrupt, or circumvent the security, integrity, or performance of the Software or the Intuit APIs.
You represent that you are authorized to connect each QuickBooks company you link to the Software. Authorization is handled through Intuit’s OAuth process; we do not receive or store your QuickBooks login credentials. You may revoke the Software’s access at any time from within QuickBooks or by contacting us. You are responsible for all activity conducted under your authorized connection.
The Software is licensed, not sold. PWL Studio and its licensors retain all right, title, and interest in and to the Software and all associated intellectual property. Your data remains yours; you grant PWL Studio only the limited rights necessary to provide the Software as described in this Agreement and the Privacy Policy.
The Software depends on QuickBooks Online and other third-party services. Your use of QuickBooks is governed by your separate agreement with Intuit. PWL Studio is not responsible for third-party services or for changes they make that affect the Software.
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PWL STUDIO DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT ANY DATA WILL BE ACCURATE OR COMPLETE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PWL STUDIO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT. PWL STUDIO’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless PWL Studio and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Software or your violation of this Agreement.
This License is effective until terminated. You may terminate at any time by disconnecting the Software from QuickBooks and ceasing all use. PWL Studio may suspend or terminate this License if you breach it or as required for security or legal reasons. Upon termination, all rights granted to you end immediately, you must stop using the Software, and we will handle your data as described in the Privacy Policy. Sections 4, 6, and 8–12 survive termination.
This Agreement is governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The exclusive venue for any dispute will be the state or federal courts located in Harris County, Texas.
We may update this License from time to time. Material changes will be posted on this page with an updated effective date; your continued use of the Software after changes take effect constitutes acceptance.
